These Terms & Conditions ("Terms") form a binding agreement between you and Adcamai.com ("we", "us", "our", or the "Operator") and govern your access to and use of the Motus Events platform available at motusevents.app and any related sub-domains, applications, APIs and emails (together, the "Service"). By creating an account, accepting an invitation, accessing the Service, or otherwise indicating your acceptance (for example by ticking an "I agree" box at sign-up), you confirm that you have read, understood and agreed to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

Please read clause 10 (Communications) carefully. By accepting these Terms you expressly consent to receive ongoing communications from Motus Events and from our sponsor AdcamAI as described below.

1. Definitions

  • Service means the Motus Events web platform, mobile-responsive interfaces, public event pages, RSVP and invitation tools, sponsor management features, email delivery, and all related functionality made available by the Operator.
  • User means any natural person who registers an account, accepts an invitation, or otherwise interacts with the Service in an authenticated capacity, including super administrators, organisation administrators, event organisers, viewers and registered attendees.
  • Organiser means a User who creates, manages or co-manages a charity golf day or related event on the Service.
  • Attendee means an individual who responds to an invitation, registers for an event, or appears on a player or guest list managed through the Service.
  • Sponsor means AdcamAI, the funder of the Service, and any partner referenced as such within the Service.
  • Content means any text, image, logo, document, attendee record, communication or other material that you upload, submit or transmit through the Service.
  • Personal Information has the meaning given to it in the Protection of Personal Information Act 4 of 2013 ("POPIA").

2. The Service

Motus Events is a multi-tenant Software-as-a-Service platform that helps organisations plan, promote and run charity golf days and similar events. Features include public event websites, branded invitations, RSVP capture, team and player management, sponsor and hole listings, leaderboards, free-access applications, contact directories and related administrative tooling. The Service is currently made available free of charge and is sponsored by AdcamAI. Sponsorship may be acknowledged within the user interface, in outgoing emails, on public event pages and in marketing materials.

3. Eligibility & authority

  • You must be at least 18 years old to register an account.
  • If you accept these Terms on behalf of an organisation (for example a charity, club or company), you warrant that you have the authority to bind that organisation, and references to "you" include both you personally and that organisation.
  • You may not use the Service if you are barred from doing so under applicable law, or if your account has previously been suspended or terminated for breach of these Terms.

4. Accounts & security

  • You must provide accurate, current and complete information when registering and keep that information up to date.
  • You are responsible for safeguarding your password and for any activity that occurs under your account.
  • You must notify us promptly at info@motusevents.app if you suspect any unauthorised access to your account.
  • We may verify the legitimacy of new organisations and may delay, suspend or refuse access where we reasonably suspect misuse, fraud, or activity that would harm the Service or other users.

5. Roles & responsibilities

The Service uses a role-based access model. Each role carries different responsibilities:

  • Super administrators (Operator staff) maintain the platform, approve new organisations and may access organisation data when reasonably necessary to operate or support the Service.
  • Organisation administrators manage their organisation's account, invite team members and are accountable for all events and Content created under their organisation.
  • Event organisers manage individual events, including invitations, attendees, sponsors and content for those events.
  • Viewers have read-only access to specific events as granted by an Organisation administrator.
  • Attendees and the public may interact with public event pages, submit RSVPs and complete public forms made available by Organisers.

6. Acceptable use

You agree that you will not, and will not permit any third party to:

  • use the Service for any unlawful, fraudulent, defamatory, harassing or infringing purpose;
  • send spam, phishing, deceptive or unsolicited commercial messages through invitations, RSVP follow-ups or any other Service feature;
  • upload Personal Information about Attendees without a lawful basis to do so;
  • upload material that is obscene, hateful, threatening or violates third-party rights (including intellectual property and privacy rights);
  • introduce malware, attempt to gain unauthorised access, probe, scan or test the vulnerability of the Service, or interfere with its security or availability;
  • scrape, copy, mirror or republish the Service, or use it to build a competing product;
  • reverse engineer, decompile or attempt to derive the source code of the Service except to the extent expressly permitted by law;
  • misrepresent your affiliation with any organisation, charity, sponsor or person;
  • resell, sublicense or commercially exploit the Service without our prior written consent.

We may investigate suspected breaches and may remove Content, suspend features, or terminate accounts in our reasonable discretion.

7. Your content & licence to us

You retain all ownership rights in the Content you submit to the Service. You grant the Operator a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, copy, transmit, display, adapt (for formatting purposes only) and otherwise use the Content solely as necessary to:

  • operate, maintain, secure and improve the Service;
  • render public event pages, invitations, RSVP confirmations and reminder emails;
  • provide support to you and your Attendees;
  • generate aggregated, de-identified statistics about platform usage.

You represent and warrant that you have all necessary rights, consents and authorisations to grant this licence and to upload the Content, including in respect of any logos, images, sponsor marks and Personal Information you provide.

8. Attendee data & data protection

Where you collect or upload Personal Information about Attendees, sponsors, contacts or third parties, you act as the responsible party (data controller) under POPIA, and the Operator acts as your operator (data processor) in respect of that Personal Information. You are responsible for:

  • establishing a lawful basis for processing each category of Personal Information;
  • providing required privacy notices to your Attendees and other data subjects;
  • obtaining any consents required by POPIA, the Electronic Communications and Transactions Act 25 of 2002 ("ECT Act"), and any other applicable law;
  • responding to data subject requests (access, correction, deletion, objection);
  • not uploading special-category Personal Information (e.g. health, religion, biometric data) unless strictly necessary and lawful to do so.

Our processing on your behalf is described in our Privacy Policy, which forms part of these Terms.

9. Third-party services

The Service relies on reputable third-party providers for hosting, database, email delivery, mapping, image processing and analytics. These providers process limited data on our behalf under their own terms and security commitments. By using the Service you acknowledge and agree to such processing. We will use commercially reasonable efforts to select providers that maintain appropriate technical and organisational security measures.

10. Communications & marketing consent

By accepting these Terms (whether by signing up, accepting an invitation, or continuing to use the Service), you expressly consent to receive ongoing communications from the Operator and from our sponsor AdcamAI in connection with the Service. This consent is intended to satisfy section 45 of the ECT Act and section 69 of POPIA in respect of direct marketing communications, and operates in addition to any communications we are otherwise entitled to send you for the performance of these Terms.

10.1 Categories of communication

The communications you may receive include:

  • Service and transactional messages — account confirmations, password resets, invitation links, RSVP and team-completion notifications, sponsor enquiry alerts, security warnings, billing-style notices (if and when paid features are introduced), legal notices, and changes to these Terms or the Privacy Policy.
  • Product communications — onboarding guidance, tutorials, tips, announcements about new features, surveys about your experience, beta-feature invitations and reminders to complete setup.
  • Marketing communications — newsletters, promotional offers, partner campaigns, event invitations (including industry events), case studies, and other materials designed to promote Motus Events or related products and services.
  • Sponsor communications from AdcamAI — messages sent by or on behalf of AdcamAI as the sponsor of Motus Events, including information about AdcamAI's own products, services, offers and events. You agree that we may share your name, business email address and limited usage context with AdcamAI for this purpose.

10.2 Channels & frequency

Communications may be delivered by email, in-app notifications, on-screen banners, and (where you have voluntarily provided a phone number) by SMS or instant-messaging services such as WhatsApp. We will use reasonable efforts to keep marketing communications to a sensible cadence and to make them relevant to you.

10.3 Opt-out rights

  • Marketing and sponsor messages may be unsubscribed from at any time by using the unsubscribe link contained in those messages, by adjusting any preference controls we provide in your account, or by emailing info@motusevents.app. We will action opt-out requests within a reasonable period and in any event within the timeframes required by POPIA.
  • Service and transactional messages are necessary to operate your account and the events you manage and cannot be opted out of while your account remains active. If you wish to stop receiving them entirely, you must close your account in accordance with clause 17.

10.4 Communications you send via the Service

When you use the Service to send invitations, RSVP follow-ups or reminders to your Attendees, you remain solely responsible for the lawfulness of those communications and for ensuring you have an appropriate basis to contact the recipients. We provide tooling; you provide the recipients and the consent.

11. Intellectual property

All right, title and interest in and to the Service, the Motus Events and AdcamAI brands, logos, designs, software and documentation, including all updates and improvements, are and remain the property of the Operator, its licensors and (in the case of sponsor marks) AdcamAI. Nothing in these Terms transfers any of these rights to you. You may not remove, obscure or alter any proprietary notices appearing in the Service.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose.

12. Sponsorship disclosure

Motus Events is provided to charities, clubs and organisers free of charge thanks to sponsorship from AdcamAI. As a result, the Service may display AdcamAI branding, links and "powered by" attributions in the user interface, on public event pages, in outbound emails and in shareable assets. By using the Service you acknowledge and accept this sponsorship arrangement.

13. Fees

The Service is currently provided at no cost. We reserve the right to introduce paid plans, premium features or transaction-based fees in the future. We will give you reasonable advance notice (by email and/or in-app notice) before any fees become payable in respect of features you currently use, and you will not be charged for any feature unless you actively choose to subscribe to or purchase it.

14. Service availability

We aim to keep the Service available 24/7 but do not guarantee uninterrupted, error-free, or secure operation. The Service may be temporarily unavailable due to maintenance, upgrades, third-party outages, or events beyond our reasonable control. Beta or experimental features are clearly labelled where possible and are provided strictly on an "as is" basis without any warranties.

15. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will meet your requirements or operate without interruption or error. We do not warrant that any data, calculation, leaderboard or report generated through the Service is free from errors.

16. Limitation of liability

To the maximum extent permitted by law, the Operator and its directors, employees, contractors, sponsors and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, anticipated savings, business, opportunity, goodwill, data, or reputation, arising out of or in connection with these Terms or the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service in any 12-month period will not exceed the greater of: (a) the total fees actually paid by you to us for the Service in that 12-month period; or (b) ZAR 1,000.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot lawfully be excluded.

17. Indemnity

You agree to indemnify, defend and hold harmless the Operator, its officers, employees, contractors, sponsors and affiliates from and against all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your Content; (b) your use of the Service; (c) your breach of these Terms; (d) communications you send to Attendees or third parties via the Service; or (e) your violation of any law or third-party right (including privacy and intellectual property rights).

18. Suspension & termination

  • You may terminate your account at any time by emailing info@motusevents.app.
  • We may suspend or terminate your access immediately and without notice if you breach these Terms, if your account poses a security or legal risk, or if continued provision of the Service to you is no longer commercially viable.
  • On termination, your right to use the Service ends. We will provide a reasonable window (typically at least 14 days) within which you may export your data, after which we may delete your account and Content in accordance with our Privacy Policy and our retention obligations under applicable law.
  • Clauses that by their nature should survive termination — including 7, 8, 10, 11, 15, 16, 17, 22 and 23 — shall survive.

19. Data retention

We retain your Personal Information and Content for as long as your account remains active and for such additional period as is reasonably necessary to comply with our legal obligations, resolve disputes and enforce our agreements. See our Privacy Policy for more detail.

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will notify you by email and/or by an in-app notice before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and close your account.

21. Force majeure

Neither party will be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, civil unrest, war, terrorism, labour disputes, government action, internet or power outages, third-party platform failures, or pandemics.

22. Governing law & dispute resolution

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. The parties submit to the exclusive jurisdiction of the South African courts in respect of any dispute arising out of or relating to these Terms or the Service, save that we may bring proceedings to enforce intellectual property rights or to seek injunctive relief in any court of competent jurisdiction.

Before commencing formal proceedings, the parties will use good-faith efforts to resolve any dispute informally by contacting info@motusevents.app and allowing at least 30 days for the matter to be addressed.

23. General

  • Entire agreement: These Terms (together with the Privacy Policy and any service-specific terms presented to you in-app) constitute the entire agreement between you and the Operator and supersede any prior agreements relating to the Service.
  • Severability: If any provision is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver: Our failure to enforce any right or provision will not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition or sale of substantially all of our assets.
  • Notices: We may give you notice by email to the address associated with your account, by in-app notification, or by posting on motusevents.app. You must send notices to us at info@motusevents.app.
  • Relationship: Nothing in these Terms creates any agency, partnership, joint venture or employment relationship between the parties.
